ARTICLE V- OFFICERS
Section 1, Determination of Officers
The Board of Directors, at its next regular meeting following the meeting of the membership in November shall nominate and elect by a majority vote, of the Board, a President, a Vice President and a Second Vice President from members of the Board. The Board shall also nominate and elect by a majority vote, a Secretary and a Treasurer. The same person may hold the office of Secretary and/or Treasurer simultaneously; said person need not be a member of the Board of Directors. All officers shall serve for a term of one year.
Section 2, Duties of Officers
A) President. The President shall serve as the executive head of the Chamber of Commerce and shall preside at all meetings of the membership and Board Directors, but shall at all times be subject to the control of the Board of Directors. The President shall be an ex-officio member of all the standing committees, and shall have the general powers and duties of management usually vested in the office of President of the corporation, and shall have such other powers and duties as may be prescribed by the Board of Directors or these Bylaws.
B) Vice President. The Vice President shall exercise the powers and the authority and perform the duties of the President in the absence or disability of the President.
C) Second Vice President. The Second Vice President shall exercise the powers and the authority and perform the duties of the President in the absence or disability of the President and the First Vice President.
D) Secretary. The Secretary shall keep, or cause to be kept, a book of minutes at the principal office or such other place as the Board of Directors may order, of all meeting of directors and members, with the time and place of holding, whether regular or special, and if special, how authorized, the notice thereof given, the names of those present at the directors' meetings, the members present or represented at members' meetings, and the proceedings thereof. The Secretary shall keep or cause to be kept at the principal office a membership list showing the names of the members and their addresses and the number and date of membership certificates issued, and the date of suspension, termination or resignation of every membership certified surrendered for cancellation. The Secretary shall give or cause to be given notice of all the meetings of the members and of the Board of Directors required by these Bylaws or by law to be given, and shall keep the seal of the corporation, if any, in safe custody, and shall have other powers and perform such other duties as may be prescribed by the Board of Directors or these Bylaws. The Secretary shall keep or cause to be kept a list of all committees, their members, their function and their budgets, respectively.
E) Treasurer. The Treasurer shall keep and maintain or cause to be kept and maintained adequate and correct accounts of the property and the business transactions of the corporation, including accounts of its assets, liabilities, receipts, disbursements, gains, losses, capital, surplus, and other appropriate items. The Books of the account shall at all reasonable times be open to inspection by any director. The Treasurer shall deposit all monies and other valuables in the name and to the credit of the corporation, with such depositories as may be designated by the Board of Directors. The Treasurer shall disburse the funds of the corporation as may be ordered by the Board of Directors, shall render to the President and directors, whenever they request it, an account of all transactions of the Treasurer and of the financial condition of the corporation, and shall have such other powers and perform such other duties as may be prescribed by the Board of Directors or these Bylaws. The Board of Directors shall be empowered to require a bond if, its discretion, the same is deemed prudent.
